These Terms of Service (“Terms”) constitute a legal agreement between you (“Customer”) and The DLA BUS ("BUS", “Company”, “we”, “us”). By accessing or using The DLA Batch Upload System (“BUS”) software and website, you agree to be bound by these Terms. If you do not agree, do not use our services. The Site provides informational content related to The DLA BUS’s products and services (the “Services”).
- Service Description: BUS is a cloud‑based Software as a Service platform that automates downloading, preparing and uploading solicitation data to the Defense Logistics Agency’s DIBBS system. Subscription tiers (Basic, Professional, or Enterprise) provide different daily batch limits. You receive a limited, non‑exclusive, revocable right to access and use the BUS platform for your internal business purposes, only. All rights not expressly granted are reserved by Company.
- Account and Eligibility: To use the BUS you must maintain an active DIBBS account and provide accurate registration information. You are responsible for safeguarding your login credentials and for all activity under your account. You represent that the information you input into the BUS is accurate and that you have authority to bid on associated solicitations. The Company is not responsible for errors, omissions or outdated information you supply. Users must comply with all applicable laws and DIBBS regulations and may not use the BUS for any unlawful or unauthorized purpose.
- Subscription, Free Trial and Payments: The BUS offers a 7 to 14‑day free trial for new customers. A valid credit card is required at sign‑up to establish your account. If you do not cancel before the trial ends, your card will be charged for the subscription plan you selected. Subscription fees are billed monthly or annually in advance and are non‑refundable after the free trial period. You may upgrade or downgrade tiers at any time; changes take effect on your next billing cycle. We reserve the right to modify fees, with advance notice, and you may cancel if you disagree. All amounts are payable in U.S. dollars. To the extent that you are purchasing products or services from the Site, the payments will be processed using a third-party payment provider. All payments will be governed by the terms of use of the third-party payment provider. Additional Payment Terms and Conditions are also governed by The DLA BUS Online Software Service Proposal Agreement for each Client's established account.
- Revenue Share and Support: If you have entered into a revenue‑share arrangement for software support services, those terms are governed by your separate agreement with the Company. Failure by the vendor to perform support services may entitle the Company to cancel the revenue share agreement.
- Use Restrictions: You agree not to: (a) sublicense, resell or transfer your user account details to any third party; (b) modify, reverse engineer or decompile the software; (c) circumvent usage limits or security measures; (d) use the BUS to store or transmit malicious code or unsolicited communications; or (e) interfere with or disrupt the integrity or performance of the BUS or DIBBS. We may suspend or terminate your account for violation of these Terms or applicable law.
- Account Security and Prohibition on Credential Sharing:
- Unique Account – Each subscription to the DLA BUS service is tied to a single, named user. When registering, you must provide accurate, current and complete information; failure to do so constitutes a breach of these Terms and may result in immediate termination of your account.
- Duty to Safeguard Credentials – You are responsible for maintaining the confidentiality of your username, password and any other authentication information used to access The DLA BUS service. You agree not to disclose or share your login credentials with any third party. Your account is personal to you and may not be shared, sublicensed, sold or otherwise transferred to any other person or entity.
- Responsibility for Activity – You are solely responsible for all activities that occur under your account, including any actions taken by anyone to whom you have provided access (whether authorized or not). You agree to use reasonable efforts to prevent unauthorized access and to preserve the confidentiality of your credentials.
- Notification of Unauthorized Use – You must notify the Company immediately upon becoming aware of any breach of security or unauthorized use of your account. Until you notify us and we have had a reasonable opportunity to act, you remain responsible for any loss or liability arising from such unauthorized use.
- Enforcement and Penalties – Sharing your credentials or allowing unauthorized users to access The DLA BUS service constitutes a material breach of this Agreement. If the Company determines, in its sole discretion, that your account has been used by anyone other than you, the Company may suspend or terminate your access to the service immediately and without notice. In the event of such termination, you forfeit any rights to refunds of subscription fees or other payments already made, and you remain liable for any unpaid amounts accrued prior to termination. The Company reserves the right to pursue further legal remedies as permitted by law.
- Data Rights and Privacy: You retain all rights to data you submit through the BUS. We process your data solely to provide the service and to comply with legal obligations. We may use aggregated, de‑identified data to improve our products and services. Our Privacy Policy describes our data practices in detail and is incorporated into these Terms by reference. Your use of the BUS indicates acceptance of our Privacy Policy.
Except to the extent your content or communications include Personal Information (as defined in the Privacy Policy), by forwarding any content or communications to The DLA BUS through the Site or by other electronic means, you grant The BUS a perpetual, royalty-free, world-wide, irrevocable, non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, redistribute, and display such content and communications in any form for the purposes of providing the Services and any purpose tangentially related to the Services. As to your Personal Information, we will only use it in accordance with the Privacy Policy. No compensation will be paid with respect to The BUS or its sublicensees’ use of the information in your communications. The BUS is under no obligation to post or use any content and communications you may provide and may remove any content or communication at any time in The BUS' sole discretion. By posting, uploading, inputting, providing or submitting content, you represent and warrant that you own or otherwise control all of the rights to your submitted content and communications as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the content and communications and grant the license above.
- Service Level and Support: We strive to maintain high availability of the BUS, but do not guarantee uninterrupted service. We provide reasonable technical support via email and phone during business hours. Service credits may be issued at our discretion for outages that materially impact your use. The Company is not responsible for downtime caused by circumstances beyond our reasonable control, including internet or DIBBS outages.
- Disclaimers and Limitation of Liability: The BUS and all related materials are provided “as is” and without warranties of any kind, express or implied. We do not guarantee that using the BUS will result in a DLA contract award; your results may vary, and manual bidding may still be required for solicitations that fail DIBBS validation. To the fullest extent permitted by law, the Company disclaims all warranties, including warranties of merchantability, fitness for a particular purpose and non‑infringement. In no event will the Company’s cumulative liability exceed the amounts paid by you in the twelve months preceding the claim.
- Term and Termination: These Terms remain in effect until your subscription ends or your account is terminated. You may cancel your subscription at any time from your account settings; cancellation will be effective at the end of your current billing period and you will not be charged further. We may terminate or suspend your access immediately upon notice if you materially breach these Terms, fail to pay fees, misuse the service or violate applicable laws. Upon termination, your right to use the BUS ceases, but sections regarding intellectual property, liability, indemnification and governing law survive. When using the Site or when using any other media provided by The BUS, you must obey all applicable federal, state and local laws. Any use of the Site that violates any applicable laws will be grounds for discontinuing your rights to access the Site.
- Intellectual Property: The BUS software, website, documentation, trademarks and logos are our intellectual property. You may not use our branding without prior written permission. You retain ownership of any content you create or upload; however, by submitting content through the BUS you grant us a limited license to host and display that content solely for purposes of providing the service.
- Indemnification: You agree to indemnify and hold harmless the Company, it’s parent or affiliates, and their respective officers, directors, employees and agents from any claims, damages or expenses arising from your use of the BUS, your violation of these Terms or any applicable laws, or your infringement of any third‑party rights.
- Governing Law and Dispute Resolution: These Terms are governed by the laws of the State of Missouri, without regard to its conflict of laws principles. Any disputes arising from these Terms or your use of the BUS will be resolved through binding arbitration in St. Louis, Missouri, except that either party may seek injunctive or equitable relief in court to protect its intellectual property or confidential information.
- Changes to Terms: We may modify these Terms from time to time. Material changes will take effect on the date specified in the notice, and we will notify you via email or through your account. By continuing to use BUS after changes become effective, you agree to the revised Terms.
- Additional Conditions of Use: You certify that the Content you provide on or through the BUS is accurate and that the information you provide on or through the BUS is complete. You are solely responsible for maintaining the confidentiality and security of your account including username, and password. The BUS is not responsible for any losses arising out of the unauthorized use of your account. You agree the BUS does not have any responsibility if you lose or share access to your device. Any agreement between you and the issuer of your credit card, debit card, bank, or other form of payment will continue to govern your use of such payment method on the BUS sites. You agree the BUS is not a party to any such agreement, nor is the BUS responsible for the content, accuracy, or unavailability of any method used for payment. Your account may be restricted or terminated for any reason, at our sole discretion. Except as otherwise provided by law, at any time without notice to you, we may (1) change, restrict access to, suspend, or discontinue the BUS Sites or any portion of the BUS Sites, and (2) charge, modify, or waive any fees required to use any services, functionality, or other content available through the BUS Sites or any portion of the BUS Sites.
Site Availability. THE DLA BUS CANNOT GUARANTEE THE SITE WILL BE AVAILABLE 100% OF THE TIME BECAUSE PUBLIC NETWORKS, SUCH AS THE INTERNET, OCCASIONALLY EXPERIENCE DISRUPTIONS AND FOR OTHER REASONS THAT MAY BE OUTSIDE OF THE CONTROL OF THE DLA BUS. ALTHOUGH THE DLA BUS STRIVES TO PROVIDE THE MOST RELIABLE SITE REASONABLY POSSIBLE, INTERRUPTIONS AND DELAYS IN ACCESSING THE SITE ARE UNAVOIDABLE AND THE DLA BUS DISCLAIMS ANY LIABILITY FOR DAMAGES RESULTING FROM SUCH PROBLEMS.Typographical Errors. Information on the Site may contain technical inaccuracies or typographical errors. We attempt to make the Site’ postings as accurate as possible, but The DLA BUS does not warrant the content of the Site is accurate, complete, reliable, current, or error-free.
- Prohibited Activities:
- Engaging in activity that compromises the Site. Such activity may include, but is not limited to hacking, IP attacks, worms, viruses, spamming, phishing, cancel bots, Trojan horses, and mail bombing or crashing.
- Engaging in any activity designed to impede the use of the Site by other users, including overloading and flooding.
- Framing or deep linking into the Site.
- Accessing the Site by means of automated process, spiders, bots or similar device.
